General Terms and Conditions (AGB)
Version date: 3 November 2026 | Language: English
Applicable to consumer and business contracts.
1 Scope
1.1 These General Terms and Conditions ("General Terms" or "AGB") apply to all contractual relationships between RICOMA Europe GmbH and its customers concerning the sale of goods, digital products and related services.
1.2 These General Terms apply to consumers (section 13 of the German Civil Code, BGB) and business customers (section 14 BGB), unless otherwise agreed.
1.3 Any special terms agreed for dealer, distributor and resale relationships take precedence. In all other respects, these General Terms and the Business Terms apply.
Special contractual terms supplementing or departing from these General Terms may apply to software, digital products and digital services. To the extent that such special terms depart from these General Terms, the special terms take precedence.
1.4 Classification as a consumer or business customer depends on the actual purpose of the particular contract at the time it is concluded. A VAT identification number is neither decisive on its own nor a mandatory requirement. For natural persons, particular consideration must be given to whether the purchase is predominantly for their commercial or self-employed professional activity. Merely describing or declaring a customer to be a business customer does not replace the legal classification or remove existing consumer rights.
1.5 To classify customers correctly, we may ask them about the intended use and relevant business details before they place a binding order. The terms applicable to the particular contract and the legally required information will be provided in the prescribed manner before the customer makes their contractual declaration. A statement concerning intended use is not a waiver of statutory rights.

Commercial register: HRB 128106
VAT identification number: DE362782094
3 Formation of the contract
3.1 The presentation of products and services does not constitute a legally binding offer. Quotations sent by us, in particular documents designated "QUO" or "Proforma Invoice", are non-binding unless expressly designated as binding.
3.2 By placing an order, the customer submits a binding offer to enter into a contract. Where the customer accepts an offer expressly designated by us as binding, the contract is concluded upon that acceptance.
3.3 After receiving the customer's order, we may accept it within two working days by issuing an order confirmation in text form, for example by email or as a PDF document. We refer to this order confirmation as a "Sales Order". The contract is concluded when the customer receives the Sales Order, unless it has already been concluded under clause 3.2.
Working days are Monday to Friday, excluding public holidays at our company's registered office. The acceptance period begins on the day after receipt of the order and expires at the end of the second working day after receipt. If the order is not accepted within that period, the customer is no longer bound by it.
Any agreed advance payment will be requested only after the contract has been concluded. Any existing statutory right of withdrawal remains unaffected.
3.4 Automated acknowledgements of receipt do not constitute acceptance of the offer.
4 Products and prices
4.1 Prices and product information in catalogues, on the website and in other sales materials reflect the position at the time of publication. This information may be corrected or updated before the contract is concluded. Any differences from the product information used for the order will be disclosed before the binding order is placed. Once the contract is concluded, the agreed prices and specifications apply. Statutory rights to avoid a declaration remain unaffected.
4.2 Consumer prices include statutory VAT and other price components. Prices expressly identified as net prices for business customers are exclusive of statutory VAT. Equipment, scope of supply and services, discounts, delivery charges and charges for additional services are specified in the relevant quotation or ordering process. Before making a binding contractual declaration, consumers receive information about the total price or how it is calculated, any additional costs and the delivery options offered, including available environmentally friendly delivery options. Additional charges beyond the principal contractual performance are expressly agreed with consumers.
4.3 For separately agreed dealer, distributor or resale relationships, prices, discounts and delivery terms are governed by the relevant dealer or distribution agreement and the agreements made for the individual order. Supplementary price lists and terms apply only if a specific version has been agreed as part of the contract.
5 Payment
5.1 Available payment methods are stated in the quotation or ordering process; for online orders, no later than the beginning of the ordering process. At least one commonly used and reasonable payment method is available to consumers free of charge. No payment fees are charged for SEPA credit transfers, SEPA direct debits or card payments covered by section 270a BGB. Fees for other payment methods are separately agreed and, for consumers, do not exceed the costs incurred for those methods.
5.2 Goods are supplied against advance payment unless another payment arrangement has been agreed. Advance payment becomes due within the agreed payment period only after the contract has been concluded in accordance with clause 3.3. Statutory rights to withhold performance remain unaffected.
5.3 Each amount due must be paid within the agreed payment period stated in our order confirmation or invoice. Where advance payment has been agreed, dispatch takes place after receipt of the amount due for the relevant delivery. Other payment methods, instalments or financing are governed by the separately agreed payment or financing terms.
5.4 For bank transfers, payment is deemed made when the amount is credited to our account. Other payment methods are governed by the respective payment arrangements.
6 Delivery
6.1 Delivery dates and periods are specified in the relevant quotation or ordering process. Delivery periods begin when the contract is concluded or, where advance payment has been agreed, when the amount due for the relevant delivery is received, unless a different starting point has been agreed.
For consumers, delivery dates and periods refer to delivery of the goods to the customer or a third party designated by the customer who is not the carrier. For sales involving shipment to business customers, handover to the carrier is decisive unless a date of arrival has been agreed.
Delays caused by outstanding information or cooperation required from the customer for delivery extend the delivery period by the resulting delay, provided the seller is not responsible for that delay.
6.2 Partial deliveries are permitted where reasonable for the customer, taking account of the purpose of the contract. Partial deliveries initiated by the seller do not result in additional shipping or transport costs for the customer.
6.3 The transfer of risk is governed by the statutory provisions.
7 Retention of title
If goods are handed over to the customer before the purchase price has been paid in full, they remain the property of RICOMA Europe GmbH until the purchase price for the relevant goods has been paid in full.
8 Defect claims and liability
8.1 Statutory provisions apply to claims for defects unless the terms applicable to the contract contain valid provisions to the contrary. Guarantees exist only in accordance with a guarantee declaration that has been issued. Separately commissioned services are governed by the agreed service terms. Liability is governed by clause 8.4.
8.2 For consumer purchases, the choice between repair and replacement is governed by the statutory provisions. For business customers, the seller chooses whether to remedy defects by repair or replacement, taking account of the customer's legitimate interests. Any refusal to provide a remedy is governed by the statutory provisions. The seller determines the technical method of repair, taking account of the defect and what is reasonable for the customer. Remote support or the supply of spare parts must not require the customer to carry out unsafe or unreasonable repairs. Section 478 BGB remains unaffected.
8.3 The costs of statutory remedies for defects are governed by the statutory provisions and the supplementary Business Terms. For business customers, additional costs resulting from moving the goods to another location after delivery are excluded unless that relocation is consistent with the goods' intended use; section 478 BGB remains unaffected. Services outside statutory defect claims are charged at the agreed rate on the basis of a separate commission. Existing guarantee claims are governed by the relevant guarantee declaration.
8.4 The seller is liable for damages, irrespective of the legal basis, in accordance with the statutory provisions in cases of intent and gross negligence, culpable injury to life, body or health, fraudulent concealment of a defect and liability under the German Product Liability Act. The same applies within the scope of any guarantee assumed and in other cases of mandatory statutory liability.
Outside these cases, the seller is liable for ordinary negligence only in the event of a breach of essential contractual obligations, and liability is limited to the foreseeable loss typical of the contract at the time it was concluded. Essential contractual obligations are obligations whose performance is necessary for the proper execution of the contract and on whose compliance the customer may regularly rely. Liability for ordinary negligence is otherwise excluded.
These liability provisions apply correspondingly to claims for reimbursement of wasted expenditure and to the personal liability of the seller's legal representatives, employees and persons engaged in performing its obligations.
9 Order of precedence
If the contractual documents conflict, the following order of precedence applies:
- Individual contractual agreements;
- For consumer contracts, the supplementary Consumer Terms; for business contracts, the supplementary Business Terms;
- The Warranty and Technical Service Terms within their respective scope;
- These General Terms and Conditions.
The warranty and service terms supplement the provisions on statutory defect rights without restricting them. Mandatory statutory rights, in particular consumer rights, remain unaffected.
The order confirmation records the agreed contractual content. The above order of precedence applies to the agreements and terms contained in it.
The applicable versions of the contractual terms are those validly agreed for the particular contract.
10 Governing law
10.1 The contractual relationship is governed by the law of the Federal Republic of Germany. The United Nations Convention on Contracts for the International Sale of Goods (CISG) is excluded. Statutory provisions restricting the choice of law and concerning the application of mandatory rules, in particular those of the country in which a consumer customer has their habitual residence, remain unaffected.
10.2 If the customer is a merchant within the meaning of German commercial law, a legal entity under public law or a special fund under public law, Offenbach am Main is the exclusive place of jurisdiction for all disputes arising out of or in connection with the contractual relationship. Statutory exclusive jurisdictions and overriding EU and international jurisdiction rules remain unaffected. Statutory jurisdiction rules apply to consumers and other customers.
11 Final provisions
11.1 If individual provisions of these General Terms do not become part of the contract or are invalid, the remainder of the contract remains effective. Such provisions are replaced by the statutory provisions. This does not apply if maintaining the contract, taking account of this legal consequence, would cause unreasonable hardship to a contracting party.
11.2 We agree amendments and additions to the contract, as well as ancillary agreements, with the customer and record them in text form, in particular by email, for evidential purposes. This does not affect the statutory precedence of individual contractual agreements. Statutory form requirements must be observed.

Version date: 3 November 2026 | Language: English
Supplementary terms for business customers.
1 Scope
1.1 These Business Terms apply to contracts with customers who, when concluding the contract, act in the course of their commercial or self-employed professional activity (business customers within the meaning of section 14 of the German Civil Code, BGB). They do not apply to contracts with consumers. Classification as a consumer or business customer depends on the actual purpose of the particular contract at the time it is concluded.
1.2 The General Terms and Conditions of Ricoma Europe GmbH and the warranty and technical service terms agreed for the particular contract also apply in the versions validly incorporated into that contract. In the event of conflicts between these contractual documents, the order of precedence in section 9 of the General Terms applies. These Business Terms take precedence over the General Terms and Conditions of Ricoma Europe GmbH. Individual contractual agreements between the parties always take precedence.
1.3 Any special terms agreed for dealer, distributor and resale relationships take precedence. In all other respects, these Business Terms and the General Terms apply.
2 Business orders
2.1 The content of the contract and the final price are determined by the agreed contractual content and the General Terms, in particular clauses 3, 4.1 and 9. The order confirmation ("Sales Order") records the agreed contractual content. Where these Business Terms contain supplementary or differing provisions, the order of precedence in section 9 of the General Terms applies.
2.2 Binding offers remain open for acceptance only within the period stated in them. If no period is specified, the statutory acceptance periods apply. Non-binding quotations are expressly identified as such. Clauses 3.1 to 3.3 of the General Terms govern the formation of contracts following non-binding quotations and the acceptance of customer orders by a Sales Order.
2.3 Discounts and special terms apply exclusively to the particular order.
3 Inspection and notification obligations
3.1 Where the transaction is a commercial transaction for both parties, the statutory inspection and notification obligations under section 377 of the German Commercial Code (HGB) apply. Otherwise, the customer must inspect the goods within a reasonable period after receipt for externally apparent defects, transport damage, quantity discrepancies and conformity with the order, insofar as this is reasonable given the nature and extent of the delivery.
3.2 Outside the scope of section 377 HGB, the customer must report any discrepancies identified within a reasonable period after identifying them. For defects not initially apparent, this applies following discovery. For documentation purposes, notice may be given in text form, in particular by email. A legally effective notification that does not observe a particular form remains sufficient.
3.3 Within the scope of section 377 HGB, the goods are deemed approved in accordance with that provision if defects are not notified in time. For defects not initially apparent, this applies if notice is not given without undue delay after discovery. Dispatch of the notice in time is sufficient. These legal consequences do not apply where a defect has been fraudulently concealed. For other business customers, failure or delay in giving notice does not, on its own, result in loss of defect rights.
3.4 The customer must provide the information necessary to investigate a claimed defect insofar as reasonably required of them and allow a reasonable examination of the goods. Statutory consequences of a culpable breach of duties to cooperate or mitigate loss remain unaffected.
4 Acceptance of work
4.1 Installation, commissioning and training are provided exclusively within the agreed scope. The manner of performance and scope of services are specified in the relevant quotation and agreements. Where self-installation under remote guidance has been agreed, the customer carries out the work on site; the seller provides the agreed guidance and support. The customer provides the necessary prerequisites in accordance with the technical requirements communicated in advance.
4.2 Services performed, functional results, complaints and outstanding matters may be recorded in a service report. Installation and training confirmations relate to the measures and results identified in them. An express declaration of acceptance under the law governing contracts for work may be recorded separately in the report. Unless formal acceptance has been agreed, the validity of acceptance does not depend on it being recorded in a report.
4.3 Where work subject to acceptance is owed, the customer must accept it without undue delay after completion and a reasonable opportunity to inspect it. Acceptance may also be implied by conduct, in particular productive use after a reasonable opportunity for inspection, if the circumstances allow the seller to understand that conduct as approval of the work as substantially conforming to the contract. Any agreed formal acceptance procedure and section 640(2) BGB remain unaffected.
4.4 Minor defects do not entitle the customer to refuse acceptance. Defects known at acceptance and the customer's reservations relating to them must be documented in the acceptance or service report.
5 Claims for defects
5.1 Claims for defects under contracts for the sale of new movable goods become time-barred twelve months after delivery. Claims for defects in work become time-barred twelve months after acceptance. The above limitation periods do not apply in cases of fraudulent concealment of a defect, in the cases covered by section 438(1), nos. 1 and 2 BGB or section 634a(1), no. 2 BGB, to claims under a guarantee assumed insofar as its terms provide for a longer period of liability, or to damages claims for which liability is unlimited under section 8.
Statutory recourse claims under sections 445a, 445b and 478 BGB remain unaffected insofar as their restriction is prohibited by law.
For software supplied for a limited term and ongoing services, the statutory limitation rules apply unless otherwise validly agreed.
5.2 Statutory defect rights do not apply to the extent that a defect or damage is caused by normal wear and tear consistent with the contract, improper use or operation, omitted or improper maintenance, unsuitable operating conditions, or modifications, interventions or repairs carried out by the customer or third parties. Defect rights for wearing parts exist only insofar as a defect goes beyond ordinary wear. The same applies to the use of spare parts, accessories or third-party components insofar as they caused or contributed to the defect claimed.
5.3 Where delivered goods are defective, Ricoma Europe chooses whether to remedy the defect by repair or replacement. Statutory rights to refuse a remedy remain unaffected. Any mandatory statutory right of the customer to choose the type of remedy remains unaffected. Clauses 8.2 and 8.3 of the General Terms also apply to the performance of remedies and allocation of costs.
6 Returns
6.1 Business customers have no statutory right of withdrawal.
6.2 There is no general right to return goods.
6.3 Returns of goods free from defects are accepted exclusively on a voluntary basis and by prior agreement with Ricoma Europe; the customer has no entitlement to return goods. If a return is approved, the customer bears the return transport costs.
A processing charge of EUR 95.00 net per machine, plus statutory VAT at the applicable rate, is charged for the usual activities associated with the return, in particular inspection, processing, cleaning, technical resetting, repackaging and restocking.
Expenses beyond the processing charge may be charged separately insofar as they arise from special circumstances of the return, are not already covered by the processing charge and have been agreed with the customer before the relevant work is carried out. Agreed return charges may be deducted from any refund. Statutory rights to unwind the contract and statutory defect rights remain unaffected.
7 Software
7.1 The customer receives a non-exclusive right to use the software supplied by us within the agreed scope. The licence model, term, permitted users or machines, functions owed, system requirements and agreed updates and support services are specified in the quotation and the incorporated service description.
7.2 The rights of use granted to the customer are not transferable. Any transfer or other provision to third parties requires Ricoma Europe's prior consent unless a mandatory statutory right of onward transfer exists.
7.3 Separately purchased software is also subject to the licence and usage terms identified in the particular quotation, in the version stated there. The relevant licensor is identified in the quotation. For software, cloud or similar digital services provided for a limited term, the agreed contractual and licence terms determine, in particular, the scope of services, duration and termination.
The order of precedence in section 9 of the General Terms applies to the relationship between the contractual documents. Mandatory statutory rights remain unaffected.
8 Limitation of liability
8.1 Ricoma Europe has unlimited liability for damage caused by intent or gross negligence and for damage arising from culpable injury to life, body or health. Liability under the German Product Liability Act and other mandatory statutory provisions remains unaffected. In cases of fraudulent concealment of a defect or a guarantee assumed, liability is governed by the statutory provisions or the terms of the guarantee, as applicable.
8.2 In the event of an ordinarily negligent breach of essential contractual obligations, Ricoma Europe's liability for damages is limited to the foreseeable loss typical of the contract at the time it was concluded. Essential contractual obligations are obligations whose performance is necessary for the proper execution of the contract and on whose compliance the customer may regularly rely.
8.3 Ricoma Europe's liability for damages caused by ordinary negligence is otherwise excluded. The above limitations of liability apply equally for the benefit of Ricoma Europe's legal representatives, employees and persons engaged in performing its obligations.
9 Final provisions
Jurisdiction is governed by clause 10.2 of the General Terms.
Back to contentsConsumer Terms
Version date: 3 November 2026 | Language: English
Supplementary terms for consumer contracts.
1 Scope
1.1 These Consumer Terms apply to contracts between Ricoma Europe GmbH and consumers.
1.2 A consumer is any natural person who enters into a legal transaction for purposes predominantly outside their commercial or self-employed professional activity.
1.3 Classification as a consumer or business customer depends on the actual purpose of the particular contract at the time it is concluded.
2 Consumer information
2.1 Before making their contractual declaration, consumers receive the legally required information during the ordering process or the individual quotation and sales process, in the manner prescribed for the relevant sales channel. Available environmentally friendly delivery options are indicated there.
2.2 For distance contracts, consumers receive confirmation of the contract on a durable medium within a reasonable period after the contract is concluded, no later than delivery of the goods or before performance of a service begins. This contains the contractual content, including price, payment terms, delivery period, delivery costs and contractual documents, together with the prescribed consumer information insofar as it has not already been provided on a durable medium. Where a right of withdrawal exists, this includes the withdrawal instructions and model withdrawal form. For off-premises contracts, consumers are promptly provided with a copy or confirmation of the contract on paper or, with their consent, on another durable medium.
3 Right of withdrawal
3.1 For distance and off-premises contracts, a statutory right of withdrawal of 14 days applies, subject to section 6. For goods, the period begins when the consumer or a third party designated by them who is not the carrier receives the goods. For goods ordered in one order but delivered separately, receipt of the last item is decisive; for goods delivered in several lots or pieces, receipt of the last lot or piece is decisive. For regular deliveries of goods over a defined period, the period begins on receipt of the first goods. For services and digital content not supplied on a tangible medium, it begins when the contract is concluded. In each case, the period does not begin before proper withdrawal instructions have been provided.
3.2 No reason is required for withdrawal.
3.3 Withdrawal must be exercised by an unequivocal declaration to the trader. The relevant contact details are stated in the withdrawal instructions. The attached model withdrawal form may be used. For contracts concluded through the online interface, the electronic withdrawal function provided there is also available. Dispatch of the withdrawal declaration within the period is sufficient to meet the deadline.

4 Returns and return costs
4.1 Following withdrawal, the goods must be sent back or handed over to the return address stated in the withdrawal instructions without undue delay and no later than 14 days after the withdrawal declaration is made. Dispatch within that period is sufficient. If collection has been offered, there is no obligation to send the goods back. For off-premises contracts, goods that cannot be returned by post will be collected at the trader's expense if they were delivered to the consumer's home at the time the contract was concluded.
4.2 The consumer bears the direct costs of returning the goods if properly informed of this before making their contractual declaration. This does not apply where the trader has agreed to bear those costs or is obliged under clause 4.1 to collect the goods at its own expense. For distance contracts concerning goods that cannot normally be returned by post, the return costs will be specified before the contractual declaration is made; if they cannot reasonably be calculated in advance, a reasonably estimated maximum amount will be communicated.
4.3 Where goods are returned as part of statutory remedies for defects, the necessary return costs are borne by the trader. Where a contract is unwound because of a defect, the return costs which the trader is legally required to bear will be borne by the trader. Otherwise, the defect provisions of the General Terms apply. Coverage of costs for statutory defect claims is not made conditional on a voluntary return agreement or a processing charge.
4.4 The consumer is liable for any diminished value of the goods to the extent that it results from handling beyond what is necessary to establish their nature, characteristics and functioning, provided the consumer has been properly informed of their right of withdrawal. No flat-rate processing or restocking fee is charged for exercising the statutory right of withdrawal. The EUR 95 net charge provided for in the Business Terms does not apply to such consumer withdrawals. Statutory return costs under clause 4.2 and compensation for actual diminished value permissible under this clause are separate matters.
4.5 On withdrawal from a paid service contract, the consumer owes proportionate payment for services performed up to withdrawal if they expressly requested that performance begin before the withdrawal period expired and were properly informed about the right of withdrawal and proportionate payment. For off-premises contracts, that request must be made on a durable medium. The amount is calculated proportionately on the basis of the agreed total price or, if that price is disproportionately high, the market value of the services performed.
5 Refunds
5.1 Subject to clause 5.2, payments received under the withdrawn contract, including delivery costs, will be refunded without undue delay and no later than 14 days after receipt of the withdrawal declaration. Additional delivery costs resulting from choosing a delivery method other than the least expensive standard delivery offered will not be refunded.
5.2 For purchases of goods, the refund may be withheld until the goods have been received back or the consumer has provided evidence of dispatch, whichever occurs first. This does not apply if collection has been offered.
5.3 Refunds are made using the same payment method used by the consumer for the original payment, unless expressly agreed otherwise and provided the consumer incurs no costs as a result.
6 Exclusion and expiry of the right of withdrawal
6.1 Customised goods
The right of withdrawal does not apply to contracts for the supply of goods that are not prefabricated and whose manufacture is determined by an individual choice or decision of the consumer, or that are clearly personalised to the consumer's needs.
6.2 Sealed software
The right of withdrawal does not apply to contracts for the supply of computer software in sealed packaging if the seal has been removed after delivery.
6.3 Digital content
For paid contracts concerning digital content not supplied on a tangible medium, the right of withdrawal expires when performance begins if the consumer has expressly consented to performance beginning before the withdrawal period expires, acknowledged that this results in loss of the right of withdrawal and received confirmation of the contract in accordance with section 312f BGB.
6.4 Services
For paid service contracts, the right of withdrawal expires once the service has been fully performed if, before performance began, the consumer expressly consented to performance beginning before the withdrawal period expired and acknowledged that the right of withdrawal would expire upon full performance of the contract. For off-premises contracts, consent must be given on a durable medium.
7 Software
7.1 Control software, firmware and other digital content or services without which the machine cannot perform its functions form part of the machine's contractual scope of supply. Additional digital products are supplied in accordance with their respective service descriptions.
The scope of services, supply period, system requirements and compatibility are specified in the quotation and product documentation provided before the contract is concluded. Legally required updates will be provided and their availability communicated. The scope and duration of additional updates and support services are governed by the relevant agreement.
7.2 If the right of withdrawal is validly exercised in relation to the product, the full purchase price, including the value of the software supplied with it, will be refunded; no separate additional payment is made for the software.
7.3 Separately purchased software is also subject to the licence terms identified in the quotation and validly incorporated before the contract is concluded. The scope of use, duration and remuneration are specified in the quotation and those licence terms.
8 Other provisions
These Consumer Terms supplement the General Terms and Conditions of Ricoma Europe GmbH. In the event of a conflict, the Consumer Terms take precedence over the General Terms as the more specific provisions for consumers. Otherwise, the order of precedence in section 9 of the General Terms applies; individual contractual agreements and mandatory statutory rights remain unaffected. Clause 10.1 of the General Terms governs the choice of law and mandatory consumer protection.
